Youhu “Gears” Software License Agreement (the “Agreement”)
IMPORTANT NOTICE: Please read this Agreement carefully. By copying, installing, registering, or using all or any part of the Software, you accept all terms and conditions set forth in this Agreement. You agree that this Agreement is legally binding upon you to the same extent as any negotiated written agreement signed by you. If you do not agree to the terms of this Agreement, do not use the Software.
Youhu Technology (Shanghai) Co., Ltd (the “Youhu”) owns all intellectual property rights in the Software. All copyrights, trademark rights, patent rights, trade secrets and other intellectual property rights in the Software, as well as all information and content related to the Software (including but not limited to text, images, audio, video, charts, interface design, layout framework, relevant data or electronic documents, etc.) are protected by applicable laws and regulations and corresponding international treaties. Youhu owns the aforesaid intellectual property rights, except for the rights that relevant right holders are entitled to under the law. Without the prior written consent of Youhu or the relevant right holders, you may not implement, utilize or transfer the aforesaid intellectual property rights for any commercial or non-commercial purposes by yourself or by authorizing any third party. The Software is licensed only, not sold. Youhu only authorizes you to copy, download, install, use or otherwise benefit from the functions or intellectual property rights of the Software in compliance with all terms of this Agreement. Use of certain third-party materials included in the Software may be subject to other terms or conditions, which can usually be found in a separate license agreement or other relevant materials.
Youhu may deliver various rules, notices, prompts and other information regarding the services (the “Services”) to you through one or more means including but not limited to display on relevant service pages, website announcements, webpage reminders, email, regular mail, internal messages sent via the account management system you use to register for the Services. You may review the relevant terms of this Agreement in the latest version of the Software. After the terms of this Agreement are modified, your continued use of the Software shall be deemed as your acceptance of the modified Agreement. If you do not accept the modified Agreement, you shall stop using the Software.
You agree that any failure to receive relevant rules, notices, prompts or other information due to incorrect email address, mailing address or other causes not attributable to Youhu shall not affect the legal validity of such information, and you shall be bound thereby. All consequences and liabilities arising therefrom shall be borne by you.
You need to register an account and log in with such account before using the Software. You may register an account on Youhu’s official website (www.gameoptim.com).Youhu may have developed different software versions for different terminal devices, and you shall select and download the appropriate version for installation according to actual conditions. After downloading the installer, you shall complete the installation properly by following the steps prompted by the installer. Each account may install and log into the Software on 2 computers.
Youhu may provide multiple application versions of the Software (the specific versions shall be subject to those provided by Youhu). You must select the software version compatible with the installed terminal device. Youhu will continuously update the application versions. If you have registered to use one version of the Services, you may use other versions of the Services with the same account, and this Agreement shall automatically apply to all versions of the Software and Services you use.
You may obtain the Software directly from Youhu’s website or from third parties authorized by Youhu. If you obtain the Software or an installer bearing the same name as the Software from a third party not authorized by Youhu, Youhu cannot guarantee that such software will function properly and shall not be liable for any losses caused to you thereby.
To improve your experience and refine the services, Youhu will continuously strive to develop new services and provide you with software updates from time to time (such updates may take the form of software replacement, modification, function enhancement, version upgrade, etc.). To ensure the security and functional consistency of the Software and Services, Youhu reserves the right to update the Software or change or restrict the effects of some functions of the Software without special notice to you. After a new version of the Software is released, older versions may no longer be usable. Youhu does not guarantee the continued availability of older versions of the Software or corresponding customer support. Please check and download the latest version at any time. You agree that Youhu may notify you of software updates by means of announcements, update logs, etc., but Youhu is not required to provide you with special notice.

Definitions
The “Software” means (a) all information accompanying this Agreement, including without limitation (i) software files and other computer information of Youhu or third parties; (ii) sample and stock photos, images, audio, graphics and other artistic works (the “Stock Files”); (iii) related explanatory written materials and files (the “Documentation”); and (iv) fonts; and (b) modifications, copies, upgrades, updates and additions to such information provided to you by Youhu at any time other than under a separate agreement (collectively referred to as “Updates”).
The “Authorized Method and Quantity” means unless otherwise specified in a valid license granted by Youhu, one (1) cycle term commences upon installation of the Software and ends on the date of change to the authorized method and quantity under this Agreement. Each account is authorized for up to two CPUs.
The “Computer” means a single computing device that accepts information in digital or similar form and manipulates it for a specific result based on a sequence of instructions.
The “Youhu” means Youhu Technology (Shanghai) Co., Ltd., whose legal address is Room 846, 8th Floor, No. 399 North Nujiang Road, Putuo District, Shanghai, China.

Software License
Provided you obtained the Software from Youhu or one of its authorized licensees and you comply with the terms of this Agreement, Youhu grants you a non-exclusive license to use the Software in the manner and for the purposes described in the Documentation. During the software registration or activation process, you may be required to provide personal identification information such as your name, telephone number, address and email address. We promise not to share or sell such information provided by you to any third party unless: (i) we have obtained your prior consent to disclose such information; (ii) we need to disclose such information to provide the products or services you requested; or (iii) we need to disclose such information pursuant to legal, regulatory or litigation requirements. You agree that we may monitor your use of the Software to improve product usability. In this process, we may record usage information relating to selected product features. Such usage information will not be collected with any associated personal identification information and will be maintained in an anonymous form.

Intellectual Property Ownership
The Software and any authorized copies you make are and remain the intellectual property of and owned by Youhu. The structure, organization and code of the Software are valuable trade secrets and confidential information of Youhu. The Software is protected by law, including but not limited to copyright laws of the country where Youhu is located and other countries, and international treaty provisions. Except as expressly stated, this Agreement does not grant you any intellectual property rights in the Software, and all other rights not expressly granted to you are reserved by Youhu.

Restrictions
4.1 Notices. You may not copy the Software without Youhu’ s consent. Any copies of the Software you are permitted to make must include the same copyright and other proprietary notices that appear on or in the Software.
4.2 Use Restriction. You may only test Apps developed by yourself. If you use the Software to test third-party Apps through improper means (including but not limited to cracking third-party packages, rooting devices, etc.), any infringement issues and other legal liabilities arising therefrom shall be borne solely by you and shall not involve Youhu.
4.3 No Modification. You may not modify, adapt or translate the Software. You may not reverse engineering, decompile, disassemble or otherwise attempt to discover the source code of the Software. You may not modify, translate, reverse assemble, decompile, disassemble or otherwise attempt to (i) break, avoid, bypass, remove, deactivate or otherwise circumvent any software protection mechanisms in the Software, including without limitation those used to limit or control the functions of the Software, or (ii) derive source code or the fundamental ideas, algorithms, structure or organization from the Software (unless applicable law prohibits such restriction). You may not use the Software for any purpose that is illegal under applicable laws in the jurisdiction where you use the Software.
4.4 No Unbundling. The Software may include multiple applications, utilities and components, may support multiple platforms and languages, and may be furnished to you on multiple media or in multiple copies. Nevertheless, the Software is designed and provided to you as a single product and shall be used on permitted Computers as a single product. You are not required to use all components of the Software, but you shall not unbundle components of the Software for use on separate Computers. You shall not unbundle or repackage the Software for distribution, transfer or resale.
4.5 No Transfer. You may not rent, lease, sell, sublicense, distribute or transfer the Software, or authorize any part of the Software to be copied to the computer of another person or legal entity.
4.6 Licensed Media Use Only. The Software is licensed solely for permitted media use. You may not use the Software for any purpose that infringes copyrights, trademarks, patents, trade secrets, publicity rights or any other rights of third parties. You are responsible for ensuring that any content or materials created, copied, downloaded, compressed, recorded, played back, published and/or distributed through the Software (including but not limited to text, photos, audio and video recordings) do not infringe such rights and that you obtain licenses from the owners of such rights.

Updates
If the Software is an upgrade or update to a previous version, you must hold a valid license for such previous version to use the upgrade or update. All upgrades and updates are provided in exchange for the license. You agree that use of an upgrade or update automatically terminates your right to use any previous version of the Software. You may continue to use the previous version of the Software on your Computer after using an upgrade or update to assist your transition to the upgrade or update, provided that: the upgrade or update is installed on the same Computer as the previous version. Youhu may license upgrades and updates to you under additional or different terms.

Disclaimer of Warranties
Youhu, its affiliates and suppliers provide the Software and use of any websites, online services and CD services “AS IS” and “WITH ALL FAULTS” and expressly disclaim: all other warranties, conditions, representations or terms, express or implied, arising by law, statute, common law, custom, usage or otherwise, including without limitation any warranties, conditions, representations or terms regarding performance, security, non-infringement of third-party rights, integrity, merchantability, uninterrupted use, satisfactory quality or fitness for a particular purpose. The terms in this Section 6 and Section 7 shall survive the termination of this Agreement (howsoever terminated), but this does not grant or imply any right for you to continue using the Software after termination.

Limitation of Liability
In no event shall Youhu, its affiliates or suppliers be liable for any losses, damages, claims or expenses, including any consequential, indirect, incidental damages or any lost profits or savings, or damages arising from business interruption, personal injury, failure to fulfill a duty of care or third-party claims, even if Youhu has been advised of the possibility of such losses, damages, claims or expenses. The foregoing limitations and exclusions apply to the fullest extent permitted by applicable law in your jurisdiction. The aggregate liability of Youhu, its affiliates and suppliers under or in connection with this Agreement is limited to the amount paid for the Software (if any), even in the event of fundamental or material breach or violation of any fundamental or essential term of this Agreement, except for death or personal injury caused by negligence of Youhu or for fraudulent acts (fraud). Youhu disclaims, rejects and/or limits liability, warranties and obligations on behalf of its affiliates and suppliers, but does not act on behalf of its affiliates and suppliers for any other purpose.

Export Rules
You agree not to supply, ship, transfer or export the Software to or use the Software in any country, region, entity or individual prohibited by applicable laws, regulations or rules of the People’ s Republic of China, the United States, the European Union and its member states, the United Nations, and other jurisdictions where the Software is supplied or where you are located (collectively, the “Export Regulations”). Furthermore, if the Software is considered an export-controlled item under Export Regulations, you represent and warrant that you are not a citizen, legal person or resident of a trade embargoed or restricted country, and that you are not prohibited from receiving the Software under Export Regulations. If you fail to comply with the terms of this Agreement, your rights under this Agreement will terminate immediately.

Governing Law
This Agreement shall be governed by and construed in accordance with the applicable laws and regulations of the country where Youhu is located. Any dispute or controversy between you and Youhu arising out of or in connection with this Agreement shall first be settled through friendly consultation. If consultation fails, either party may submit the dispute to the Shanghai International Arbitration Center for arbitration in Shanghai in accordance with its then-effective arbitration rules. The arbitration tribunal shall consist of three arbitrators, and the arbitration language shall be Chinese. The arbitral award shall be final and binding upon both parties.

General Provisions
If any part of this Agreement is found invalid or unenforceable, it shall not affect the validity of the remaining provisions, which shall remain valid and enforceable. The Chinese version of this Agreement shall prevail in interpretation. This is the entire agreement between you and Youhu regarding the Software and supersedes all prior representations, discussions, undertakings, communications or advertising relating to the Software.

Commercial Items
The Software and documentation are commercial items consisting of commercial computer software and commercial computer software documentation.

Special Provisions and Exceptions
This Section contains special provisions relating to certain components of the Software and limited exceptions to the foregoing terms and conditions. If any provision of this Section conflicts with any other term or condition of this Agreement, this Section shall prevail.

Miscellaneous
13.1 Mandatory Statutory Liability. The limitations of liability under this Agreement do not apply to any mandatory statutory liability, provided that Youhu and its affiliates’ statutory liability for damages shall be limited as follows: (i) Youhu and its affiliates shall be liable only for losses caused by slight negligence in breaching material contractual obligations, and damages shall not exceed the amount of typical loss foreseeable at the time the purchase agreement was concluded; and (ii) Youhu and its affiliates shall not be liable for losses caused by slight negligence in breaching non-material contractual obligations.
13.2 You must take all reasonable measures to avoid and reduce losses, including making backup copies of computer data as required under this Agreement.
13.3 Pre-Release Software. If the Software is a pre‑release or trial version (the “Pre-Release Software”), the following terms apply. The Software is a pre‑release version and does not represent the final product offered by Youhu. It may contain defects, errors and other issues that may cause data loss, system failure and other problems. You are responsible for regularly backing up your system and data to protect against potential data loss.
13.4 Trial, Sample and NFR Versions. If the Software is a trial, evaluation, sample or NFR copy (the “Trial Software”), the following terms apply. Trial Software may contain limited functionality and is solely for demonstration and evaluation purposes, not for commercial use. You use Trial Software at your own risk. For warranty disclaimers and liability limitations governing Trial Software, see Sections 7 and 8 of this Agreement.
13.5 Time-Limited Software. If the Software is time‑limited, it will cease to operate after a specified period or a certain number of launches following installation. The license under this Agreement will terminate after such period or number of launches unless extended upon confirmation by Youhu after you obtain a full retail license. Access to and use of any files or output created with the Software or any products related to the Software are at your sole risk.
13.6 Online Services
13.6.1 The Software may rely on or facilitate your access to websites where Youhu, its affiliates or third parties provide goods, information, software or services (the “Online Services”). Your access to and use of any website is governed by the terms, conditions, disclaimers and notices posted on such website. Youhu may modify or discontinue access to any website or Online Service at any time for any reason.
13.6.2 Youhu does not control, endorse or assume responsibility for any websites or Online Services provided by third parties. Any transactions you conduct with third parties regarding websites or Online Services, including delivery and payment for goods and services and any other terms, conditions, warranties or representations associated with such transactions, are solely between you and such third parties.
13.6.3 Unless expressly agreed by Youhu, its affiliates or third parties in a separate agreement, you use all websites and Online Services at your sole risk.

Termination
This Agreement remains effective during your use of the Services. You may terminate use at any time. We may discontinue the operation of the Software with prior notice without any liability. In addition, if you breach any term or condition of this Agreement, we reserve the right to immediately terminate or suspend your access to all Services and websites without prior notice or liability. Upon termination of your account, you shall immediately cease all use of the Services and access to the websites and any content. All terms of this Agreement shall survive termination, including but not limited to ownership provisions, warranty disclaimers and limitations of liability, to the extent necessary to enforce the rights and obligations of the parties.
